End User License Agreement

This End User License Agreement ("Agreement") is between you and Omnibus, Ltd ("we", "us"). It covers the RedactFirst desktop application, including its updates, rule templates and documentation (the "Software"). By installing or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

If you accept this Agreement on behalf of a company or other organization, you confirm that you are authorized to do so, and "you" means that organization.

• "License Key" means the key you receive when you buy a license for the Software.
• "Major Version" means all releases of the Software that share the same first version number. For example, 1.0, 1.4 and 1.9.2 all belong to Major Version 1.
• "Computer" means a single physical or virtual computer on which the Software is installed and activated.

You may use the Software free of charge for three (3) days from the day you first open it (the "Trial"). During the Trial all features are available. When the Trial ends, you can still open, search and review documents, but redacted copies you save carry the word "TRIAL" across every page and come without a verification report until you activate a License Key. The Trial is for evaluation; you may not reset or extend it by technical means.

Subject to this Agreement and payment of the license fee, we grant you a perpetual, non-exclusive, non-transferable license to install and use the Major Version of the Software for which you bought a License Key, including all minor and patch releases of that Major Version that we make available, on Computers that you own or control, for your personal or business purposes. The license covers the number of Computers for which you bought it, as stated in your order, and each activation uses one of them; one License Key works on both macOS and Windows.

A license is a one-time purchase, not a subscription. A later Major Version is a separate product that may require a paid upgrade; we are not obliged to release one, and nothing in this Agreement entitles you to one.

Activating a License Key requires an internet connection. To activate, the Software sends your License Key and a randomly generated device label (not the network name of your Computer) to our license provider, Lemon Squeezy. While a license is active, the Software confirms with Lemon Squeezy about once every seven days that the License Key is still valid. If the Software cannot reach Lemon Squeezy, it keeps working for up to 14 days after the last successful check. You can deactivate the Software on a Computer to free that activation for another Computer. The Privacy Policy describes this in detail.

You may not, and may not allow anyone else to:

• share, publish, sell or otherwise distribute your License Key, or use it on more Computers than this Agreement allows;
• rent, lease, lend, sell, sublicense or otherwise transfer the Software, except as allowed by applicable law;
• reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits it despite this restriction;
• remove, bypass or interfere with the license checks, the Trial limits or the copy checks of the Software;
• remove or change any copyright, trademark or other notices in the Software;
• use the Software in violation of any applicable law.

The Software helps you find and remove information from documents. It does not decide for you, and it can be wrong. You agree that:

• You are solely responsible for reviewing every document and every page, and for deciding what is removed and what is kept, before you share, file or publish a redacted copy.
• The Software's automatic suggestions, rule sets and rule templates can miss information that should be removed and can mark information that should not be. Name detection, text recognition of scanned pages and pattern matching are not complete or error-free.
• The check that the Software performs before it saves a copy looks for the specific texts and areas you selected and for the other items described in the copy's report. A passed check does not mean that all sensitive or private information has been removed from the document.
• The "Apply without review" and "Watch folder" features apply suggestions without anyone reviewing them. You are responsible for checking copies made this way before you use them.
• The Software never changes the files you add, but you are responsible for keeping backups of your documents.

The Software is not legal advice. Rule templates are examples of common office uses, not legal approval of any kind. We do not claim that the Software, its rule templates or the copies and reports it makes meet the requirements of any law, regulation, court rule, standard or contract that applies to you, and you are responsible for determining whether its results meet your obligations.

We may make updates to the Software available. If you have an active license and leave the option on, the Software downloads updated rule templates from our website at most once a day. Updated templates are added for you to choose from; your own rule sets are never changed.

The Software processes your documents only on your Computer. Our Privacy Policy, available in the Software and at https://redactfirst.app/legal/privacy, describes the limited information the Software sends over the internet and is part of this Agreement.

The Software includes open-source components. Each is licensed under its own terms, which are listed in the Software under Settings, Legal, Open-source licenses. Nothing in this Agreement limits your rights under those licenses.

The Software is licensed, not sold. We and our licensors own all rights, title and interest in the Software, including all intellectual property rights. All rights not expressly granted in this Agreement are reserved. The documents you work on, and the copies and reports you make with the Software, belong to you.

Licenses are sold by Lemon Squeezy, which acts as our reseller. Prices, taxes and payment are handled under Lemon Squeezy's terms at the time of purchase. You may ask for a full refund within 30 days of purchase, as described at https://redactfirst.app/legal/refunds.

This Agreement remains in effect until it is terminated. It ends automatically if you fail to comply with any of its terms. When it ends, you must stop using the Software and delete it from your Computers. Sections 6, 10 and 13 through 17 survive termination. We may revoke a License Key that has been refunded, charged back, shared or obtained fraudulently.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SOFTWARE WILL FIND OR REMOVE ALL SENSITIVE, PRIVATE OR CONFIDENTIAL INFORMATION, THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS RESULTS WILL MEET YOUR REQUIREMENTS OR ANY LEGAL OR REGULATORY REQUIREMENT. Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, OR FOR ANY DAMAGES ARISING FROM THE DISCLOSURE OF INFORMATION THAT WAS NOT REMOVED FROM A DOCUMENT, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE, OR FIFTY US DOLLARS (US$50) IF YOU PAID NOTHING. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of these limitations may not apply to you.

You agree to comply with all export and sanctions laws that apply to your use of the Software. If you are a United States government end user, the Software is "commercial computer software" and is licensed to you only with the rights given to all other end users under this Agreement.

This Agreement is governed by the laws of the jurisdiction in which we are established, without regard to its conflict of laws rules. If you are a consumer, you keep the protection of the mandatory laws of your place of residence and may bring claims in its courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

This Agreement, together with the Privacy Policy, is the entire agreement between you and us about the Software and replaces any earlier agreements about it. If any provision is found unenforceable, the rest of the Agreement remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent; we may assign it in connection with a merger, acquisition or sale of assets. We may update this Agreement for future versions of the Software; the version that came with your release of the Software applies to it.
